Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of LiveMerge — the web application at livemerge.dev and the livemerge-bridge daemon (together, the "Service") — operated by Andineering ("we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service & early access
LiveMerge turns your team's free-text requests into a task graph using AI (a "Moderator" pass), surfaces goal-alignment conflicts (an "Arbitrator" pass), and can dispatch approved tasks to a coding agent running on your own machine.
The Service is currently in early access. Features may change, break, or be removed; data may be migrated; access is granted in waves and may be revoked. We may modify or discontinue the Service (in whole or in part) at any time.
3. Accounts
You must provide accurate information, keep your credentials secure, and be at least 18 years old (or the age of majority where you live). You are responsible for all activity under your account. New signups may be placed on a waitlist until approved.
4. Workspaces & members
Content in a workspace (sessions, requests, chat, decisions) is visible to all members of that workspace. Workspace owners control membership, including inviting and removing members. Invites are bound to the email address they were sent to.
5. Credits & paid plans
- AI passes consume credits (1 credit per Moderator pass; conflicts add 1 Arbitrator pass). Credits are pooled per workspace.
- Trial credits are a one-time grant, have no cash value, are non-transferable, and may expire or be adjusted during early access.
- When paid plans launch, payments will be processed by Paddle as merchant of record; Paddle's checkout terms apply to purchases. Purchased credits and subscription fees are non-refundable except where required by law or by Paddle's buyer policies. Plan pricing and included credit amounts may change with notice.
6. The bridge daemon & AI-generated code
The livemerge-bridge daemon runs on your machine, in a project directory you choose, and executes coding-agent CLIs (such as Claude Code or Codex) against tasks derived from any member's requests in the paired session. By pairing a daemon you acknowledge that:
- AI-generated tasks and code can be wrong, incomplete, or harmful to your codebase. You are responsible for reviewing all changes before relying on or shipping them.
- The daemon can create, modify, and delete files in the directory it runs in. Pair it only on projects you trust your whole workspace to modify, and use version control.
- We are not responsible for the conduct of third-party coding agents, their costs (e.g. your Anthropic/OpenAI subscription or API usage), or changes made to your systems.
7. Your content
You retain ownership of the content you submit (requests, chat messages, reference goals, code). You grant us a limited license to host, process, and transmit that content as needed to operate the Service — including sending request text and session history to our AI subprocessor (Anthropic) to derive task graphs, and mirroring derived state to our realtime infrastructure. We do not use your content to train AI models.
8. Acceptable use
You agree not to:
- use the Service for unlawful purposes or to develop malware;
- probe, breach, or test the security of accounts or workspaces you don't own;
- abuse trials (e.g. disposable-email farming for credits);
- resell or white-label the Service without our written consent;
- interfere with the Service's operation or other users' use of it.
9. Intellectual property
The Service, including its software, design, and branding, is owned by us or our licensors. The livemerge-bridge daemon is published under its own open-source license (MIT) in its repository; that license governs your use of the daemon's source code.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED OUTPUT WILL BE ACCURATE, THAT THE SERVICE WILL BE UNINTERRUPTED, OR THAT DATA WILL NOT BE LOST.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL — INCLUDING DAMAGE ARISING FROM CODE CHANGES MADE BY CODING AGENTS DISPATCHED THROUGH THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR USD $50 IF YOU HAVE PAID NOTHING).
12. Termination
You may stop using the Service and delete your account at any time by contacting us. We may suspend or terminate accounts that violate these Terms or create risk for the Service or other users. Sections 7, 10, 11, and 13 survive termination.
13. Governing law & changes
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules. We may update these Terms; material changes will be announced in the product or by email, and continued use after the effective date constitutes acceptance.
